STAFFING SERVICES AGREEMENT
Review the assignment details and payment terms.
The completed agreement will identify your business, the selected worker, responsibilities, U.S. business hours, agreed U.S. time zone, and start date. All employees cover U.S. business hours. Each employee costs $2,000 for a full calendar month.
Payments are due on the 15th of the month they cover. Your first month's fee is based on the calendar days from your agreed start date through the end of that month. Starting on the 1st costs $2,000; starting on the 2nd deducts one day's share of the monthly fee.
If the first month's payment date has already passed when you hire, that month's prorated fee is due upfront. Otherwise, it is due on the 15th of the service month. Each following full month costs $2,000 per employee and is due on the 15th.
Before you authorize billing, you will see the first month's total, its service period and due date, any amount due immediately, and the next monthly payment date. Saving your card without an immediate payment does not waive the first month's fee. Recurring card payments require separate authorization.
Draft version: hire4less-staffing-draft-2026-11-05-v3
1. Engagement and assignment
Hire4Less LLC (Provider) arranges the staffing services described in the commercial schedule for the client identified there (Client). The schedule identifies the selected worker, role, duties, agreed U.S. business hours and U.S. time zone, work location, start date and fees. The worker will be based in Tirana, Albania and will cover the agreed U.S. business hours. Provider remains Client's contracting party and may arrange the worker's employment through Adria Talent Group or another appropriately registered and, where required, licensed Albanian employer (Local Employer). Additional workers or material changes require written agreement. The start date is subject to required employment registrations, applicable approvals and completion of Client's access onboarding. Selection and payment do not by themselves mean that work has started.
2. Provider responsibilities
Provider will coordinate the Local Employer's written employment arrangement, salary administration, employee deductions, employer social and health contributions, statutory benefits, leave and applicable payroll reporting. Provider will confirm applicable registration and staffing requirements and require confidentiality, information-security and intellectual-property obligations from the Local Employer and worker. Provider will promptly communicate changes in availability that materially affect the assignment. Provider will use reasonable efforts to replace a worker who resigns or whose replacement Client reasonably requests for documented performance concerns, without a separate recruiting or replacement fee. A replacement's availability or start date is not guaranteed.
3. Client responsibilities
Client will work with Provider's designated manager, provide the systems, information, approved instructions and permissions reasonably needed for the assignment, and promptly report material performance or conduct concerns. Compensation, benefits, employment status and employment termination must be coordinated through Provider and the Local Employer. The worker may not bind Client or enter contracts for Client without separate written authority. Duties, hours, regulated work and access to highly sensitive information outside the agreed assignment require prior written agreement and any necessary safeguards. Client remains responsible for the legality of its business instructions, materials and outreach practices.
4. Schedule, leave and absences
All employees cover U.S. business hours. The commercial schedule must state the agreed daily hours and controlling U.S. time zone before work begins. Any displayed conversion to another time zone is for convenience; the agreed U.S. time zone governs, including its daylight-saving changes. The worker retains applicable statutory leave, holiday, break and other employment protections. Provider will coordinate advance notice of planned leave where practicable. Substitute coverage for paid statutory absences is not guaranteed unless separately agreed. Additional hours require advance written approval. Ordinary employment costs and applicable shift premiums are included in the agreed service fee unless the parties expressly agree otherwise before the charge arises.
5. Fees, first payment and monthly payment date
The staffing service fee is $2,000 USD per employee for each full calendar month, with payment due on the 15th of that month. The first month's fee covers the agreed start date through the last day of that calendar month and is prorated as described in Section 6. It is due on the 15th of the service month. If that payment date has already passed when the hire is completed, the first month's fee is due at checkout instead. Each subsequent full calendar month costs $2,000 per employee and is payable on the 15th of that month. The commercial schedule must show the first month's total fee, its service period and payment date, any amount due immediately, and the amount and date of the next monthly payment. Saving a card when no payment is due immediately does not waive the first month's fee. Any automatic card charge must follow the separately disclosed and expressly accepted recurring-payment authorization; an agreement to a payment deadline alone is not authorization to charge a card. Provider will not collect full card details in this agreement. Payment details are handled by the payment processor. No separate placement fee applies. Ordinary coordination and local employment administration are included in the agreed monthly service fee.
6. Proration, changes and credits
The first month's fee equals the monthly fee multiplied by the number of calendar days from the agreed start date through the end of that month, including the start date, divided by the total calendar days in that month. The result is rounded to the nearest cent. Starting on the 1st costs the full monthly fee; starting on the 2nd deducts one calendar day's share of that fee. Weekends are included in this calculation even though the agreed work schedule may be Monday through Friday. The first month's service period, calculated fee, amount due immediately and payment date must be displayed before billing is authorized. Unless the completed commercial schedule expressly states another agreed method, a partial final month is prorated by the scheduled working days in that month. An advance payment for a period in which services are not provided, other than agreed paid leave, will be credited or refunded following termination as applicable. No assignment fee is charged for a vacancy, except properly accrued services, agreed paid leave or expressly agreed earned bonuses. Fee increases, additional workers, separately chargeable expenses and compensation changes require prior written agreement. Changes in taxes, statutory costs or exchange rates do not automatically increase Client's charges. Bonuses apply only when specifically included in an agreed schedule. Client must pay undisputed charges when due and promptly raise any good-faith dispute.
7. Term and termination
The engagement continues month to month from its agreed effective date. Either party may terminate the agreement or assignment without cause on 30 calendar days' prior written notice. Either party may terminate for a material breach that remains uncured 10 business days after receipt of written notice, or immediately for fraud, unlawful activity or a material information-security threat that cannot reasonably be contained during a cure period. Client is responsible for properly accrued fees through the effective termination date, including agreed proration and earned bonuses. No separate pass-through employment separation costs may be added without prior written agreement. Provider will reasonably assist with transition, return of property and access deactivation. Ending a card authorization does not by itself cancel an assignment or eliminate amounts properly due under the agreement.
8. Confidentiality and work product
Each party will protect the other party's nonpublic business, technical, financial, personnel and customer information, use it only for the services, and disclose it only to authorized persons with equivalent confidentiality duties. These duties do not cover information lawfully public, previously known, independently developed or lawfully obtained from another source. Legally compelled disclosure is permitted with advance notice where lawful. Confidentiality continues for three years after termination and, for trade secrets and protected personal data, for as long as applicable law requires. Work product created specifically for Client in performing the services belongs to Client. Provider will secure sufficient assignments from the Local Employer and worker to give effect to that ownership where permitted. Pre-existing tools and materials are excluded, but Client receives a perpetual license to any such materials incorporated into its work product.
9. Access and information security
Client determines authorized accounts, data categories and permissions. Unique credentials, multifactor authentication where available, secured devices, current updates, screen locking and approved communication channels are required. Shared credentials, unauthorized forwarding, personal cloud storage, removable-media exports and use of unapproved external AI services with Client data are prohibited. Access to financial accounts, payment-card details, identity records, consumer credit data or other specially protected information requires express written approval and additional safeguards. The parties acknowledge that access occurs from Albania and will complete any required data-processing, international-transfer or subcontractor documents before the relevant access begins. Provider will notify Client without undue delay and no later than 24 hours after becoming aware of an actual or reasonably suspected compromise connected to the services, and reasonably assist with investigation and containment. At Client's request or the end of the assignment, access and use will cease. Client data will be returned or securely deleted within 15 business days after termination, except legally required records, which remain protected.
10. Responsibility and liability
Each party will indemnify the other for third-party claims, judgments and reasonable defense costs to the extent caused by its fraud, willful misconduct, material breach of confidentiality or data-security obligations, or material violation of applicable law, subject to prompt notice and reasonable defense cooperation. No settlement may impose nonmonetary obligations on the other party without consent. Except for payment obligations, fraud, willful misconduct, infringement of the other party's intellectual property and liabilities that cannot lawfully be limited, aggregate liability is limited to amounts paid or payable under the agreement during the 12 months before the event giving rise to the claim. Neither party is liable for indirect, incidental, special or consequential damages, including lost profits, except where included in an indemnified third-party claim or where such a limitation is prohibited by law.
11. General provisions and notices
The parties are independent contracting businesses; the agreement does not itself create a partnership or authority to bind the other party. Employment relationships and statutory responsibilities are determined by applicable law. Governing law, dispute venue, and Provider notice address must be confirmed in the final agreement before live execution. Nonwaivable Albanian employment, tax, licensing and privacy requirements remain applicable. Disputes will first be referred to authorized representatives for 15 days of good-faith discussion. Notices must be in writing, including email with receipt confirmed. Provider's notice contact is info@hire4less.co. Client's notice details are those in the commercial schedule. The completed agreement and schedule are the entire understanding concerning the services. Amendments and waivers must be written and agreed by authorized representatives. Assignment requires consent except to a successor in a merger or sale of substantially all assets. If a provision is unenforceable, the remaining provisions continue.
12. Electronic consent and agreement record
The final live signing process must present the completed agreement and commercial schedule before the client signs, permit the client to retain a copy, and record the agreement version and affirmative electronic-signature consent. The signer must confirm authority to act for Client. The typed signature, signer identity, acceptance time and supporting audit fields must be supplied by that process and must not be inferred from browsing, a preselected box or payment alone. Any recurring-payment consent is recorded separately. This draft does not add a requirement for a Provider countersignature or supply a Provider signature. The parties' final execution process must be established before live use. In the sample walkthrough, any entered name or displayed signature is only a demonstration and does not execute an agreement or authorize a charge.
